Terms of Use

1. About These Terms

These terms govern the relationship between Iceni Ltd ("we", "us", "our") and you ("the client") when you engage us to design, build, or maintain a website. By proceeding with any work, you agree to these terms.

 

2. Our Services

We offer the following services:

 

Handled — $299/month

A fully managed subscription covering a 5-page custom-coded website, design and development, up to 5 hours of work per month, hosting and backups, unlimited minor text and image edits, priority support, and blog functionality. A 12-month minimum contract applies. Extra pages are $100 each (one-off setup fee). All prices are GST exclusive.

 

Manage — $175/month

A subscription plan including a 5-page custom-coded website, design and development, a Directus CMS for self-editing, 2 hours of support per month, hosting and backups, full support, and blog functionality. A one-off $1,000 CMS setup fee applies. A 12-month minimum contract applies. Extra pages beyond 5 are $150 each (one-off setup fee). All prices are GST exclusive.

 

Build — from $3,500 (one-off)

A one-off project to design and build a 5-page custom website with Directus CMS, staff training and handover, and 1 month of post-launch support. Hosting and CMS access are billed separately at $50/month. Extra pages are $150 each. All prices are GST exclusive.

 

3. Pricing and Payment

All prices are in New Zealand Dollars (NZD) and exclude GST. GST will be added to all invoices at the prevailing rate.

Subscription fees are invoiced monthly in advance. One-off fees are invoiced as agreed — typically a deposit upfront with the balance due on completion.

Invoices are due within 30 days of the issue date. Late payments may result in work being paused or the site being taken offline until the account is brought up to date.

 

4. Minimum Term and Cancellation

Subscription plans (Handled, Manage) require a 12-month minimum term. After the minimum term, the subscription continues on a rolling monthly basis.

To cancel, you must provide 30 days written notice to hello@example.com. Cancellation during the minimum term is not permitted, and fees remain payable for the remainder of that term.

 

5. Hosting and Backups

Hosting and backups are included in the Handled and Manage subscription plans for the duration of the active subscription. For the Build plan, hosting and CMS access are available at $50/month, billed monthly in advance.

If your subscription is cancelled or lapses, your website will be taken offline. We will provide reasonable notice before doing so.

 

6. Domains

Domain registration is not included in any plan. We strongly recommend clients register and own their domain directly. If you already have a domain, we can assist with pointing it to your site at no charge. If you need a domain, we will advise you where to register one.

 

7. Content and Intellectual Property

You retain ownership of all content you provide — text, images, logos, and other materials. You grant us a licence to use that content to build and maintain your website.

The website design, code, and structure are our work product. Under subscription plans (Handled, Manage), you have a licence to use the website while the subscription is active. If you cancel or your subscription lapses, that licence ends and the site may be taken offline.

Under the Build plan, full ownership of the website code and design transfers to you upon receipt of final payment.

 

8. Site Handover and Transfer

If you wish to transfer your website to another provider or host it yourself, we will assist with the following:

• Handled / Manage subscribers: We will provide the compiled static website files (HTML, CSS, JavaScript) and a Directus content export (JSON/CSV format). This allows you or another developer to redeploy the site on alternative hosting. Providing the full source code (Astro project files) is at our discretion and may be subject to an additional fee.
• Build clients: You already own the source code. We can assist with a Directus database export on request.

Hosting on our infrastructure will end on the final billing date. We are not responsible for sourcing or arranging alternative hosting on your behalf.

 

9. Our Responsibilities

We will:

• Build your website to a professional standard
• Maintain hosting and backups for the duration of your subscription
• Complete requested changes within a reasonable timeframe
• Notify you of any planned maintenance or significant downtime

 

10. Your Responsibilities

You will:

• Provide content (text, images, etc.) in a timely manner
• Respond to requests for feedback and approvals promptly
• Ensure all content you provide is accurate, lawful, and does not infringe any third-party rights
• Keep your contact and billing information up to date

 

11. Limitation of Liability

To the extent permitted by New Zealand law, our liability for any loss or damage arising from our services is limited to the total fees paid by you in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental losses.

 

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email. Continued use of our services after that notification constitutes acceptance of the updated terms.

 

13. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be subject to the jurisdiction of the New Zealand courts.
